Orion Recruitment specializes in the permanent and temporary placement of candidates with clients. These general terms and conditions apply to all services provided by Orion Recruitment.
Orion Hiring LLC, trading as Orion Recruitment (hereinafter: “Orion Recruitment”), is a limited liability company incorporated under the laws of the State of Delaware, United States. The Delaware State File Number is 10008788. Its registered office is located at 16192 Coastal Highway, Lewes, Delaware 19958, County of Sussex.
Article 1 – Definitions
Gross annual income: the candidate’s gross annual salary, including holiday allowance, fixed bonuses, thirteenth month, fixed allowances, commissions, and other fixed or reasonably expected remuneration components. Where a lease car, mobility budget, or car allowance applies, a fixed value of €7,500 per year is included, unless agreed otherwise in writing.
Candidate: a person introduced by Orion Recruitment to the client.
Assignment: the agreement between Orion Recruitment and the client under which Orion Recruitment recruits and selects candidates.
Client: the party for whom Orion Recruitment recruits and selects a candidate.
Article 2 – Applicability
2.1 These General Terms and Conditions apply to all offers, quotations, agreements, assignments, and other (legal) acts between Orion Recruitment and the client, unless agreed otherwise in writing.
2.2 These terms are deemed to have been accepted when:
the client places an assignment with Orion Recruitment;
the client invites a candidate introduced by Orion Recruitment for an interview, or considers the candidate for a role;
the client agrees to a proposal from Orion Recruitment orally, in writing, or in any other implied manner.
2.3 Deviations from these General Terms and Conditions are only valid if confirmed in writing by Orion Recruitment.
Article 3 – Formation of the assignment
3.1 An assignment is formed as soon as Orion Recruitment confirms it in writing, or when the client makes use of a candidate introduced by Orion Recruitment (for example, by inviting the candidate for an interview).
3.2 All offers, prices, fees, and invoices are determined and paid exclusively in euros (EUR) and are exclusive of applicable taxes, unless stated otherwise.
3.3 Orion Recruitment is established outside the European Union and therefore does not charge VAT on its invoices.
Article 4 – Fee
4.1 The client pays a fee per placement of 25% of the candidate’s gross annual income, as defined in Article 1.
4.2 The full placement fee (100%) is invoiced and due on the day the employment agreement between the client and the candidate is signed.
Article 5 – Payment
5.1 Invoices must be paid within 14 days. If the payment term is exceeded, Orion Recruitment will first send a reminder. If payment is still not received after the reminder, a formal notice of default may follow. If payment then remains outstanding, Orion Recruitment reserves the right to charge statutory interest and any collection costs.
5.2 Objections to an invoice must be submitted in writing and with reasons within 14 days.
Article 6 – Use of candidate data
6.1 The client may not forward the data of candidates introduced by Orion Recruitment to third parties, and may not engage them directly without the involvement of Orion Recruitment.
6.2 If a candidate introduced by Orion Recruitment becomes engaged, directly or indirectly, by the client or a party affiliated with the client within twelve (12) months of introduction, regardless of whether this takes place on the basis of an employment agreement, a services agreement, a freelance arrangement, a management agreement, secondment, or otherwise, the full agreed placement fee is due.
6.3 If a candidate introduced by Orion Recruitment was already demonstrably known to the client for the same role, the client must notify Orion Recruitment of this in writing and with reasons within five (5) working days of introduction. Failing this, the candidate is deemed to have been introduced by Orion Recruitment.
Article 7 – Early termination
7.1 If the agreement between the candidate and the client ends within one (1) month of the start date of employment, Orion Recruitment refunds 50% of the placement fee paid, unless the termination results from redundancy, misconduct by the client, or any breach of the employment agreement by the client.
Article 8 – Liability
8.1 Orion Recruitment does not guarantee that introduced candidates are suitable and is not liable for any damage arising from their employment.
Article 9 – Privacy
9.1 Both parties process personal data in accordance with the General Data Protection Regulation (GDPR), the Dutch GDPR Implementation Act, and other applicable privacy legislation. Unless agreed otherwise in writing, each party qualifies as an independent controller for the personal data it processes in the context of recruitment and selection.
9.2 Orion Recruitment collects, stores, and processes candidate and client data solely to deliver its recruitment services, and takes reasonable measures to protect such data against unauthorized access or disclosure.
9.3 The client agrees to treat all candidate data received from Orion Recruitment securely and confidentially, and in accordance with applicable privacy legislation.
Article 10 – Governing law and competent court
10.1 These General Terms and Conditions, the assignment confirmation, and all legal relationships arising from or connected to them are governed exclusively by the laws of the Netherlands. Disputes are submitted exclusively to the competent court of the District Court of Midden-Nederland, location Utrecht, unless mandatory law provides otherwise.
Article 11 – Confidentiality and non-solicitation
11.1 Orion Recruitment and the client must treat all confidential information they obtain during the collaboration as strictly confidential, and may not share it with third parties without prior written consent.
11.2 The client will not enter into a direct collaboration with candidates introduced by Orion Recruitment without the involvement of Orion Recruitment, unless agreed otherwise in writing. If this nevertheless occurs within 12 months of the last interaction, a fee of 100% of the agreed placement fee is due.
